Terms and Conditions

Last reviewed: 28 June 2026

These Terms and Conditions of Use (the “Terms”) govern access to and use of the websites, mobile applications, and platform operated by BEERENO APP, S.L. (“BeeReno,” “we,” or “us”). Together with the Privacy Policy, Cookie Policy, Cancellation and Refund Policy, Legal Notice, and any supplementary terms and conditions referenced herein, they constitute the entire agreement between BeeReno and the User (the “Agreement”).

2. Service Provider Identification

In compliance with Law 34/2002, on Information Society Services and Electronic Commerce (LSSI-CE), the owner of the Service is BEERENO APP, S.L., with registered office at Calle Cristóbal de Moura 49, 08019 Barcelona (Spain), Tax Identification Number (NIF) B-70626023, incorporated on January 26, 2024, before Notary Public D. E. Roselló Carrión (number 391 of his protocol) and registered in the Mercantile Registry of Barcelona (Volume 49154, Folio 46, Page B-609653, Entry 1). Contact: info@beereno.es.

3. Object and scope

These Terms and Conditions govern access to, registration with, and use of the Platform, the rights and obligations of Users, and the relationship between Users and BeeReno. They do not govern the Commissioning Agreement between Client and Supplier, to which BeeReno is not a party.

4. Nature of the Service: BeeReno as an intermediary marketplace

4.1 Position as a marketplace

BeeReno operates a two-way online marketplace that facilitates connections between Customers and Providers. BeeReno allows Users to offer, search for, communicate with, book, and pay for Jobs. BeeReno is not the provider of the Jobs, nor is it a contractor, employer, insurer, subcontractor, or party to any Job Agreement, and it does not perform Jobs or employ individuals to perform them. All Jobs are performed exclusively by independent Providers.

To the fullest extent permitted by applicable law, BeeReno does not (i) supervise, define, direct, control, or monitor the work of a Supplier (BeeReno does not set the location, hours, or working conditions of Suppliers, nor does it provide tools, materials, or expenses), nor (ii) have any control over the quality, deadlines, safety, legality, performance, completion, or any other aspect of the Commissions, or over the conduct, integrity, qualifications, or solvency of Users. Entering into a Commission Agreement does not create any liability for BeeReno.

4.2 Absence of employment or agency relationship

The Platform is not a placement agency. Users are not employees, partners, representatives, agents, joint venture participants, or franchisees of BeeReno, and have no authority to act on BeeReno’s behalf or bind it. Providers freely decide whether to accept or reject Orders, their availability, their prices, and how they fulfill Orders; they may offer their services elsewhere, including through competing platforms, and maintain their own clientele without restriction.

4.3 Information for Customer Users acting as consumers

In accordance with the consumer protection regulations applicable to online markets (Royal Legislative Decree 1/2007, “TRLGDCU”, as amended to transpose Directive (EU) 2019/2161), BeeReno informs Customer Users that:

  • The Commissioning Agreement is entered into directly and exclusively between the Client and the Supplier; BeeReno is not the provider of the Commissioning Agreement nor is it a party to said agreement;
  • The status of the Supplier as a businessperson or professional is indicated on the basis of the Supplier’s own declaration to BeeReno;
  • All Providers on the Platform act as entrepreneurs or professionals (self-employed or companies) in the exercise of their trade, business activity or profession; being duly registered as such is a requirement for access to the Platform as a Provider;
  • The Supplier is responsible for the execution, quality, legality and guarantees of the Order, while BeeReno is solely responsible for operating the Platform and the functions of facilitating payment, holding funds and processing refunds described in these Terms and Conditions and in the Cancellation and Refund Policy.

4.4 Verification, badges, and background checks

Where lawful, Suppliers may undergo a vetting process before and during their use of the Platform, which may include identity verification and the submission of documentation (such as registration, licenses, or insurance). Any “verified” label, badge, or similar indicator reflects only the objective fact that the Supplier has completed a registration step or submitted certain documentation. It does not constitute, and should not be interpreted as, an endorsement, certification, or guarantee by BeeReno of the Supplier’s skills, qualifications, licenses, insurance, suitability, safety, or legal compliance. The Customer is responsible for selecting the Supplier and conducting their own due diligence before booking. BeeReno does not guarantee the accuracy of background check information or statements made by Users.

5.Registration, account and security

To use the Service, the User must register and accept these Terms and Conditions, the Cancellation and Refund Policy, and the Privacy Policy, and decide whether to accept non-essential cookies. The information provided must be accurate, current, and truthful, and must be kept up to date. The User is responsible for safeguarding their credentials and all activity conducted through their account, and must immediately notify BeeReno of any unauthorized use or security breach. BeeReno is not responsible for unauthorized access resulting from the User’s failure to keep their credentials secure, the use of weak passwords, shared accounts, compromised devices, or phishing.

6. How the Platform Works

A Client can create a Service Request outlining the required service. Providers can submit proposals through BeeConnect, including a description of the services, the price, and the estimated completion date and time. The total amount payable by the Client, including the applicable Platform Fee and taxes, is communicated before the Booking is confirmed.

The Client has 24 hours from receipt of a proposal to accept its terms (including the price and the Cancellation and Refund Policy). If not accepted within this timeframe, the proposal expires and the payment link becomes invalid. Acceptance and full payment create the Commissioning Agreement and constitute the Client’s acceptance of the proposal and the Cancellation and Refund Policy. No Commission will be scheduled or delivered until payment is confirmed.

7. Supplier Classification and Positioning

In accordance with Directive (EU) 2019/2161 (transposed into the TRLGDCU) and the P2B Regulation, the main parameters that determine how Suppliers are classified or displayed, and their relative importance, are: the relevance of the Supplier’s category and profile to the Customer’s search or Request for Service; the geographical proximity to the location of the Service and the service radius declared by the Supplier; the Supplier’s availability and responsiveness; the ratings and reviews received and the completeness and quality of the profile; and the Supplier’s recent activity on the Platform.

Any ranking obtained in exchange for direct or indirect compensation (e.g., paid placement) is clearly identified as such. The Provider’s Subscription level does not, by itself, determine the relevance ranking of search results. When these parameters change, BeeReno will update this clause and notify Provider Users in accordance with the P2B Regulation.

8. Pricing, Platform Fees, Payments and Billing

8.1 Supplier Subscription

Provider Users access the Platform by purchasing a Subscription, as provided in Part II. Client Users access the Platform free of charge.

8.2 Platform Fee

A Platform Fee applies to bookings made through the Platform: 8% for services or payments under €500, and 4% for services or payments of €500 or more (plus applicable VAT where appropriate). The applicable Platform Fee is communicated before confirming the booking and is included in the total amount payable. BeeReno may modify the Platform Fee and any promotional conditions in accordance with clause 26 and, for Suppliers, with the P2B notice periods.

8.3 Payments and Limited Collection Agent

BeeReno does not provide payment services or act as a payment intermediary. Payments are processed by the Payment Service Provider (PSP), with whom the User must enter into a separate contract and whose terms and conditions apply. The User must register with and accept the terms and conditions of the PSP (currently Stripe Payments Europe, Ltd. and its regulated group entity Stripe Technology Europe, Limited, authorized by the Central Bank of Ireland). The PSP’s terms and conditions are available at https://stripe.com/en-es/legal/ssa.

Beyond enabling connections, BeeReno acts solely as a limited payment collection agent for the Provider to facilitate payment for Orders through the PSP. Therefore, the Client’s payment obligation to the Provider for an Order is fulfilled when the Client pays the corresponding amount through the Platform, regardless of whether BeeReno subsequently remits it to the Provider. Acting as such a limited agent, BeeReno assumes no liability whatsoever for the acts or omissions of the Provider.

8.4 Withholding and release of funds

When the Platform provides for the temporary holding of funds, these funds are held and released through the PSP. As a general rule, payment is released to the Supplier once the Order is confirmed as completed in accordance with the Cancellation and Refund Policy, or when a claim is resolved in accordance with clause 10. BeeReno is responsible for performing these functions diligently and in accordance with the agreed terms; this does not make BeeReno a party to the Order Agreement.

8.5 Billing and self-billing

The Platform may automatically generate invoices or payment records, which may include Supplier and Customer details, service information, applicable taxes, the Platform Fee, payment references, and transaction details. The Supplier remains solely responsible for its invoicing, VAT, tax returns, accounting, and business registration obligations. BeeReno acts solely as a technology and payment facilitation platform, unless otherwise required by law.

9. Cancellations, refunds and rescheduling

Cancellations, refunds, and rescheduling are governed by the Cancellation and Refund Policy, which forms part of the Agreement and is accepted with each Booking. When a refund is due under this Policy, BeeReno will process it through the PSP within a reasonable timeframe. The rights afforded to Customer Users acting as consumers under mandatory consumer law are not affected by this Policy.

10. BeeReno Protection (claims management)

Users can benefit from the “BeeReno Protection” process. A Client can submit a formal complaint through the Platform within 24 hours of the execution of an Order, detailing the deficiencies and referencing the Order Request. BeeReno may request supporting documentation from either party and will notify the Supplier, who will have 5 days to respond. From the moment a complaint is submitted, BeeReno may, where possible, temporarily withhold the corresponding payment while the process is underway.

Any decision made by BeeReno within this internal process is made in good faith and for purely operational purposes (such as the release or retention of funds held through the PSP), and is understood to be without prejudice to the right of any User to take legal action before the competent courts, consumer arbitration bodies, or authorities. Nothing in this process limits or implies a waiver of the rights of Customer Users acting as consumers.

11. Ratings, reviews, and content moderation

11.1 Ratings and reviews

Ratings and reviews must be objective, truthful, and refer to a completed Order or the User with whom the transaction took place. Defamatory, insulting, obscene, offensive, or violent reviews, reviews containing personal or confidential information, or reviews with promotional purposes are not permitted. BeeReno takes reasonable and proportionate measures to verify that published reviews come from Users who have actually booked or used the corresponding service through the Platform, in particular by linking the reviews to a booked and completed Order on the Platform. BeeReno does not present sponsored or incentivized reviews as independent and does not knowingly publish false reviews; when a review is unverified, BeeReno will indicate this.

11.2 Content moderation, notification and action, and statement of reasons

BeeReno may moderate or remove Content and take corrective action when it becomes aware of a breach of these Terms, has actual knowledge of illegal activity, or is required to do so by law. Such action may include warnings, blocking or removing Content or Commission Requests, and temporary or permanent account suspension.

Notification and action. Any individual or entity may notify BeeReno of the alleged existence of illegal content by writing to info@beereno.es, identifying the content and the reasons why it is considered illegal. BeeReno will process such notifications in a timely, diligent and non-arbitrary manner.

Statement of reasons. When BeeReno applies a measure, it will inform the affected User of the restriction, its reasons and the available remedies, except when, exceptionally, this is not required under applicable law, infringes a legal rule or contradicts the instructions of a competent authority.

12. Acceptable Use and Standards

Users must use the Service in accordance with the law, public order, good faith, and these Terms, and must not use it for any unlawful purpose or to infringe the rights of third parties. In particular, Users may not:

  • to introduce or disseminate racist, xenophobic or pornographic content, which constitutes an apology for terrorism or incitement to hatred or violence, or which violates fundamental rights;
  • publishing false, misleading or inaccurate information, impersonating others or transmitting credentials to third parties;
  • transmit unsolicited advertising, spam, chain letters or pyramid schemes, or infringe intellectual or industrial property or confidentiality;
  • publishing images of minors, or content of a sexual, erotic or companionship nature, or content not related to the actual assignment required;
  • creating valuations of transactions that have not taken place, or repeatedly submitting false reports; or
  • systematically extract, track, or reuse Service Content, or use bots or data mining tools, without BeeReno’s prior written consent.

Pro Finder and publishing policy. The features that allow Users to post service requests or “Pro Finder” ads visible to nearby Providers may not be used to promote third-party businesses, advertise third-party products, post spam or false or misleading requests, or redirect Users away from the Platform to circumvent it. BeeReno may remove posts, restrict their visibility, and suspend accounts that violate this policy.

13. No avoidance and off-platform transactions

The Platform’s discovery, communication, booking, and payment functions are provided on the basis that Orders identified or initiated through the Platform are contracted and paid for through the Platform. Accordingly, Users may not use the Platform to identify a counterparty and then, for the purpose of circumventing the Platform Fee or Platform functions, solicit, arrange, perform, or pay for such Order (or substantially similar subsequent Orders arising from the connection) outside of the Platform. Users will maintain all communications and payments relating to an Order on the Platform.

When a User circumvents the Platform in breach of this clause, BeeReno may, without prejudice to any other recourse: suspend or cancel the account; and, with respect to Supplier Users, demand payment of the corresponding Platform Fee. Users acknowledge that transactions carried out outside the Platform are not covered by BeeReno Protection, by the payment facilitation functions, or by any Platform guarantee, and are carried out at the parties’ own risk. This clause does not restrict a Supplier from maintaining or serving its own independent clientele obtained through means other than the Platform, nor does it impose on Customer Users acting as consumers any penalty that would be considered abusive under the Spanish General Law for the Defense of Consumers and Users (TRLGDCU).

14. User Content and Intellectual Property

The Service Content and all intellectual and industrial property rights in the Platform (including software, code, databases, design, text, graphics, and the BeeReno™ name and logo) belong to BeeReno or its licensors. Users acquire no rights to them other than a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for its intended purpose. Users may not copy, modify, distribute, reverse engineer, or create derivative works from the Platform without BeeReno’s prior written consent.

Users retain ownership of their User Content and represent that they hold all necessary rights to it. By submitting User Content, the User grants BeeReno a worldwide, non-exclusive, royalty-free license to host, use, reproduce, adapt, publish, display, and distribute such content as necessary to operate, provide, protect, moderate, promote, and market the Platform, for the duration of the corresponding rights. BeeReno has no commercial relationship with any third-party brands that Users may display.

15. Third-party services, links, payment processors, and app stores

The Service may rely on or link to third-party providers, integrations, APIs, hosting, analytics, payment processors, and app stores, and may contain links to third-party sites. To the fullest extent permitted by law, BeeReno is not responsible for the availability, content, accuracy, security, or practices of such third parties, or for any interruptions, failures, policy changes, or limitations caused by them, except when BeeReno has actual knowledge of the unlawful nature of the linked content and fails to disable the link with due diligence. The existence of a link does not imply endorsement.

16. Platform availability, maintenance, and features under testing

BeeReno does not guarantee uninterrupted or error-free availability of the Platform. Features may change, be geographically limited, modified, or discontinued. BeeReno may suspend or restrict the Platform for maintenance, upgrades, security, fraud prevention, legal compliance, or other operational reasons, minimizing disruption where reasonably possible. BeeReno may release beta, experimental, or early access features, which may contain errors and may be modified or withdrawn; such features are used at the User’s own risk. To the fullest extent permitted by law, BeeReno is not liable for losses resulting from downtime, interruptions, third-party failures, or such measures.

17. Warranty Exclusions

To the fullest extent permitted by applicable law, the Platform and Service are provided “as is” and “as available,” and BeeReno excludes all warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. BeeReno does not guarantee that Suppliers will be available in any area, category, or period, nor does it guarantee any specific results, demand, Order volume, or revenue. This clause does not exclude or limit any warranty or right that cannot be excluded or limited under mandatory law, including the rights of Customer Users acting as consumers.

18. Responsibility

18.1 BeeReno as intermediary

To the fullest extent permitted by applicable law, BeeReno is not liable, directly or indirectly, for: Commissions or Commission Agreements; the acts, omissions, conduct, quality, safety, legality, qualifications, or solvency of Users; property damage, personal injury, accidents, theft, fraud, delays, defects in performance, or economic losses arising from a Commission; Content provided by Users or third parties; data loss, unavailability, errors, or interruptions not attributable to BeeReno; or incidents occurring during or after the performance of a Commission. As a hosting service provider, BeeReno is not liable for Content whose illegality it is genuinely unaware of, provided that it acts diligently to remove or disable access to it as soon as it becomes aware of it.

18.2 Responsibility in the payment layer

When BeeReno facilitates the collection of payments, the temporary holding of funds, or the processing of refunds in accordance with these Terms and the Cancellation and Refund Policy, BeeReno is responsible for performing these operational functions diligently and in accordance with the agreed terms. This does not extend BeeReno’s responsibility to the execution, quality, or outcome of the Order, which are the sole responsibility of the Supplier.

18.3 Limitation of liability

Subject to clause 18.2, and to the maximum extent permitted by applicable law: BeeReno is not liable for indirect, incidental, special, or consequential damages, or for loss of profits, goodwill, business, or data; and BeeReno’s overall liability to a Supplier User arising out of or relating to the Platform will not exceed the total amount paid by that Supplier User to BeeReno during the twelve (12) months preceding the event giving rise to liability. With respect to Customer Users acting as consumers, BeeReno’s liability is determined in accordance with applicable mandatory regulations.

19. Compensation

To the fullest extent permitted by applicable law, the User shall indemnify and hold harmless BeeReno from any third-party claim, action, fine, penalty, loss, or cost (including reasonable attorney’s fees) arising from the User’s breach of these Terms, infringement of third-party rights, wrongful conduct, Orders performed or requested by the User, or User Content. BeeReno may assume the sole defense of any claim for indemnification, in which case the User shall cooperate. This indemnification does not apply to Customer Users acting as consumers beyond the limits permitted by mandatory consumer protection regulations, and in no case does it require a consumer to bear the defense or costs of BeeReno in a manner that would be considered abusive under the Spanish General Law for the Defense of Consumers and Users (TRLGDCU).

20. Suspension, restriction and resolution

A User may terminate the relationship at any time by ceasing to use the Platform and deleting their account (without affecting any obligations already incurred, including any outstanding Subscriptions, as provided in Part II). BeeReno may suspend, restrict, or terminate access when the User breaches these Terms or applicable law, for security or fraud prevention reasons, or when required by law. In serious cases (such as fraud, illegal content, or a risk to the security of the Platform or third parties), BeeReno may act without prior notice. For Supplier Users, notice periods, statements of reasons, and redress rights are set out in Part II and the P2B Regulations.

21. Fraud, abuse, chargebacks and compensation

BeeReno may investigate suspicious activity and may suspend or block accounts, withhold or reverse payments to Providers, refuse or restrict payments, request verification or documentation, and block Users in cases involving suspected fraud, scams, chargeback abuse, fake accounts or reviews, payment fraud, or Platform manipulation. BeeReno may recover disputed amounts and chargebacks and may offset such amounts, along with any Platform Fees or other amounts owed, against current or future payments to a Provider, to the extent permitted by law and the PSP terms.

22. Data protection

The processing of personal data is described in the Privacy Policy, which sets out the purposes and legal bases (such as contract performance, compliance with legal obligations, and legitimate interest). Processing is not based on the mere use of the Platform. Consent for cookies, marketing communications, and geolocation, where required, is obtained separately through appropriate mechanisms (such as the cookie banner and specific settings) and can be withdrawn at any time. The Privacy Policy is not a contractual clause and does not form part of these Terms and Conditions.

23. Automated systems, artificial intelligence, and monitoring

BeeReno may use automated moderation, fraud detection, analytics, security, and verification systems, including artificial intelligence technologies, to protect the Platform, detect abuse, and improve the Service. All such processing is lawful, proportionate, and carried out with the information and safeguards required by applicable law, as described in more detail in the Privacy Policy. BeeReno may only access or review communications when lawful and necessary for moderation, fraud prevention, dispute investigation, security, or legal compliance. Any automated recommendations or suggestions provided through the Platform are solely intended to assist Users and do not constitute professional, legal, technical, or security advice; Users remain responsible for their own decisions and should rely on the Provider’s professional judgment.

24. Cooperation with the authorities

BeeReno may cooperate with judicial, governmental, regulatory, tax, banking and police authorities when legally required or necessary to investigate fraud, prevent illegal activities, comply with legal obligations, protect the security of the Platform or enforce these Terms.

25. Single point of contact (Digital Services Regulation)

In accordance with Articles 11 and 12 of Regulation (EU) 2022/2065 (the “DSA”), BeeReno designates a single point of contact for direct communication with Users, the European Commission, Member State authorities, and the European Digital Services Board, available at info@beereno.es. The Digital Services Coordinator in Spain is the National Commission on Markets and Competition (CNMC).

26. Modifications to the Conditions

BeeReno may modify these Terms, for example, to reflect changes to the Service, its functionality, or pricing, or to applicable law. BeeReno will notify Users of substantial modifications through the Platform or by email, on a durable medium, and with reasonable notice before they take effect. Customer Users who do not accept the modified Terms may discontinue using the Service; continued use after a substantial modification takes effect, upon prior notification, constitutes acceptance, without prejudice to mandatory consumer rights. For Supplier Users, the notice period and right of termination provided in Part II apply (a minimum of fifteen (15) days, in accordance with the P2B Regulation). BeeReno will not apply retroactive modifications unless required by law or beneficial to Users.

27. Communications, notifications, electronic acceptance and language

BeeReno may communicate with Users through the Platform, by email, or via in-app notifications, which Users accept as valid means of notification. By creating an account, using the Platform, subscribing, or continuing to access the Service, Users accept these Terms electronically, which have the same legal validity as a handwritten signature. The Platform may be offered in multiple languages and provide automatic translations; BeeReno does not guarantee the accuracy of the translations and is not liable for any misunderstandings arising from them. In case of discrepancy, the Spanish version of these Terms shall prevail, without prejudice to mandatory consumer rights.

28. General provisions

Assignment. BeeReno may assign or transfer this Agreement, in whole or in part, to a company within its group or as part of a merger, reorganization, or sale of assets, without the User’s consent, provided that the User’s rights are not impaired. Users may not assign this Agreement without BeeReno’s prior written consent.

Full agreement. The Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes all previous understandings.

Absence of resignation. The fact that BeeReno does not exercise any right does not constitute a waiver of that right.

Divisibility. If any clause is declared wholly or partially null or ineffective, the remaining provisions will remain in force, and the affected clause will be deemed not to have been included only to the extent of its invalidity.

Force Majeure. BeeReno will not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is due to events beyond its reasonable control, including natural disasters, fire, flood, epidemics or pandemics, war, terrorism, civil unrest, strikes, failures or interruptions of electricity, telecommunications or internet networks, cyberattacks, or acts, restrictions or measures of any government or authority. This does not affect the mandatory rights of Customer Users acting as consumers.

Absence of third-party beneficiaries. Except for the BeeReno group companies with respect to the liability, warranty disclaimer and indemnification clauses, the Agreement does not create rights for third parties.

Survival. Clauses that by their nature must survive termination (including those relating to intellectual property, liability, indemnification, fraud and compensation, non-circumvention, applicable law and general provisions) will survive termination of the Agreement.

Securities. The titles are for guidance purposes only and do not affect the interpretation.

29. Applicable law, dispute resolution and jurisdiction

These Terms and Conditions and any matter relating to the Service are governed by Spanish law. The parties submit to the following courts and tribunals, depending on the User’s status: (i) Supplier Users: the internal procedure set out in Part II must be followed first, and, where applicable, the parties submit to the Courts and Tribunals of the city of Barcelona (Spain), waiving any other jurisdiction; and (ii) Customer Users acting as consumers: the courts and tribunals of the consumer’s domicile, in accordance with the Spanish General Law for the Defense of Consumers and Users (TRLGDCU), which jurisdiction may not be changed to the detriment of the consumer.

Customer Users acting as consumers may also resort to out-of-court resolution through alternative dispute resolution mechanisms, including the Consumer Arbitration System when BeeReno is a member, the European Consumer Centre Network (ECC-Net) for cross-border issues and the competent consumer authorities.

PART II
ADDITIONAL CONDITIONS FOR PROVIDER USERS (P2B)

These additional terms apply to Supplier Users, in accordance with Regulation (EU) 2019/1150 (the “P2B Regulation”), and supersede Part I in the event of any discrepancy concerning the relationship with the Supplier. A “Supplier User” is any natural person acting within the scope of a trade or profession, or any legal entity, that offers services to consumers through the Platform for purposes related to their trade, business, or profession.

P-1. Definitions (P2B)

  • “Online intermediation services”: information society services that allow Provider Users to offer services to consumers, facilitating the initiation of direct transactions, provided on the basis of a contractual relationship between BeeReno and the Provider User.
  • “Durable media”: any instrument that allows the Provider User to store information addressed personally to him, accessible for future reference and that allows the information to be reproduced without changes.
  • “Mediation”: a structured and voluntary process in which the parties attempt to resolve a dispute with the assistance of a mediator.

P-2. Contracting as a company

Self-employed. By registering as self-employed, you confirm that you are an independent contractor responsible for all applicable business and legal taxes and obligations.

Company representation. By registering as a company representative, you confirm that you are authorized to bind the company. Your authorization is recorded, and you affirm that the information provided is accurate and truthful.

P-3. Independent contractor status; absence of employment relationship

Suppliers are fully independent and are not employees, workers, agents, representatives, or subcontractors of BeeReno. BeeReno does not control Suppliers’ schedules, supervise the execution of Orders, provide tools or equipment, manage working conditions, or guarantee workload or income. Suppliers freely choose whether to accept Orders, their availability, their prices, and how to execute the Orders.

P-4. Taxes, VAT and social security

Suppliers are solely responsible for their VAT, self-employment/social security contributions, tax returns, invoicing, accounting, and business registration obligations. BeeReno is not responsible for suppliers’ tax or legal non-compliance and does not withhold any taxes on their behalf.

P-5. Subscription, free trial, renewal and cancellation

Provider Users access the Platform through one of the following plans (the “Subscription”), with a free trial period: BeeReno Pro Starter at €19.99 per month (VAT included), and BeeReno Pro Max at €49.99 per month (VAT included). BeeReno may offer promotions, such as extended trial periods, communicated through the Platform and subject to their terms. Any change to the Subscription price or plan will be communicated to Provider Users on a durable medium with reasonable notice and, in all cases, at least fifteen (15) days before it takes effect, in accordance with clause P-10. The Provider may terminate the Subscription before the change takes effect.

Subscriptions automatically renew until canceled, for an additional period equal to the initially agreed-upon term, and can be canceled at any time with effect from the end of the current period. Canceling the account or deleting the app does not cancel the subscription; the subscription must be canceled separately. When the subscription is purchased through a third-party billing system (such as Apple In-App Purchase or the PSP), cancellation and refunds may depend on that system, and BeeReno may redirect the provider to it. The provider acknowledges that they are offering the subscription in the course of their business or professional activity and that, consequently, the consumer’s right of withdrawal does not apply.

P-6. Supplier’s Obligations, Representations and Insurance

The Provider represents and warrants that: it operates as a business entity or self-employed individual and maintains an independent clientele; it has the unrestricted right to work in the jurisdiction in which it performs the Assignments; it owns and maintains, at its own expense, all licenses, permits, registrations, and insurance required by law to operate and perform the Assignments; it provides timely, professional, and safe services for which it has the necessary experience; it uses its legal name and an up-to-date profile; and it maintains all communications and payments related to the Assignments on the Platform. The Provider, as a business owner, confirms that it has all the mandatory insurance required to provide its services lawfully and safely.

P-7. No guarantee of service requests, income or visibility

BeeReno does not guarantee service requests, opportunities, income, conversions, demand, visibility, customer responses or the volume of jobs. Performance on the Platform may vary depending on location, market demand, competition, profile quality, reviews, seasonality and activity on the Platform.

P-8. Classification, access to data and differentiated treatment

Classification. The main parameters that determine the ranking of Provider Users, and their relative importance, are those established in clause 7 of Part I. Any remuneration that directly or indirectly influences the ranking will be indicated. The Subscription level alone does not determine the ranking by relevance of the search results.

Data access. During the relationship, the Supplier has access to the personal and other data that it provides and generates through the Platform (such as profile data, Order and proposal history, messages, and ratings). BeeReno accesses this data to operate, protect, and improve the Platform and to comply with legal obligations, as described in the Privacy Policy. Upon the revocation of any restriction or suspension, BeeReno will, without undue delay, reinstate the Supplier’s access to this data.

Differential treatment. BeeReno does not offer its own services that compete through the Platform and does not give preferential treatment to its own goods or services compared to those of the Supplier Users.

P-9. Payments, settlements and compensation

Payments for Orders are collected and released through the PSP, as provided in clause 8 of Part I. BeeReno may deduct the Platform Fee and offset chargebacks, refunds, and other amounts due against current or future payments, to the extent permitted by law and the PSP’s terms. Invoices issued for the Subscription or Services up to the effective date of termination remain due and payable.

P-10. Modification of these Supplier Conditions

BeeReno will notify Supplier Users of any proposed modifications on a durable medium. Changes will not take effect before the expiration of a reasonable and proportionate notice period, and in any event, at least fifteen (15) days, with longer periods when technical or commercial adjustments are required. The Supplier may terminate before the expiration of the notice period and may waive such notice period in writing or by an unequivocal affirmative action; use of the Platform during the notice period constitutes such waiver, except when the period exceeds fifteen (15) days. The notice period does not apply when BeeReno must comply with a legal obligation or address an unforeseen and imminent security risk. BeeReno will not impose retroactive modifications unless required by law or beneficial to Supplier Users.

P-11. Account Suspension and Restriction

BeeReno may restrict or suspend a Supplier’s account for security or technical reasons, for breach of these Terms, or when it is notified that Content is fraudulent or illegal, by notifying the Supplier and giving them an opportunity to clarify the matter, unless an exception to the duty to notify applies. BeeReno will not be required to provide an explanation when it is subject to a legal obligation not to disclose the facts, or when it can demonstrate repeated breaches. Suspension for these reasons does not give rise to any right to compensation. When BeeReno revokes a restriction or suspension, it will reinstate the Supplier without undue delay, including access to data generated before the measure took effect.

P-12. Account Resolution

BeeReno may terminate the Subscription Agreement for non-payment, repeated breach of these Terms, or when the Provider unilaterally terminates the Agreement. When BeeReno terminates all of a Provider’s Services, it will provide, at least thirty (30) days before the termination takes effect, a statement of reasons on a durable medium, unless it is required to comply with a legal obligation, exercises a right of termination for compelling reasons, or can demonstrate repeated breaches. Early termination does not extinguish rights accrued prior to termination.

P-13. Internal management of claims and mediation

A Supplier may file a complaint if they believe BeeReno has failed to meet its P2B obligations, if they are affected by technological issues related to the Services, or if they are affected by specific conduct on the part of BeeReno. Complaints are submitted to info@beereno.es and are processed internally by a qualified team, which will provide a reasoned and individualized written response. A decision to suspend, restrict, or terminate a Supplier may remain in effect during the proceedings and may be reversed if appropriate. The Supplier may initiate legal action at any time or, if both parties agree, mediation, regardless of whether the internal proceedings have concluded.

P-14. Applicable Law and Jurisdiction

These Provider Terms are governed by Spanish law. For disputes between BeeReno and a Provider User, the parties submit to the Courts and Tribunals of the city of Barcelona (Spain), waiving any other jurisdiction, without prejudice to the internal complaints procedure and any agreed mediation.
